1. ACCEPTANCE OF TERMS

By accessing or using the website located at www.apexitystudio.com (the "Site"), or downloading, installing, accessing, or using InvoiceMaker Pro or any mobile applications and digital services operated by APEXity Studio (collectively, the "Services"), you ("User" or "you") agree to be bound by these Terms of Use ("Terms").

If you are entering into these Terms on behalf of a company, business, or other legal entity, you represent that you have the authority to bind such entity. If you do not agree to all of these Terms, you must immediately cease accessing the Site and cease using all Applications and Services provided by APEXity Studio.

2. SCOPE AND SERVICES OVERVIEW

APEXity Studio operates as a mobile product and software studio. Our Services include:

• Digital Site Platform: Providing information regarding our software solutions, product portfolio, technology stack, and business operations via our official website.
• Mobile Productivity Tools: Providing mobile software applications, including InvoiceMaker Pro, designed to assist business users in drafting, organizing, rendering, and managing invoice drafts, estimates, quotes, digital signatures, and internal operational business records.

3. NATURE OF APPLICATIONS (DRAFT & INFORMATIONAL TOOLS ONLY)

• Informational & Internal Tool Standard: All tools, templates, calculations, and features provided within InvoiceMaker Pro and other software products are designed exclusively as digital productivity and organization aids for internal business use.
• No Official e-Invoicing Certification: Documents rendered or exported by the Applications do not automatically constitute legally binding, tax-compliant, or official government-registered e-Invoices (such as GIB e-Fatura/e-Arşiv, Peppol, or certified CTC systems) unless explicitly integrated with a licensed third-party government e-invoicing API.
• No Legal, Tax, or Accounting Advice: Neither APEXity Studio nor the Services provide financial, accounting, legal, or tax advisory services. Any tax rates, calculations, or invoice layouts provided are for illustrative purposes only.

5. USER RESPONSIBILITIES & COMPLIANCE

• Tax & Legal Compliance: You are solely and fully responsible for ensuring that all invoices, financial receipts, tax calculations, and records generated using our Services comply with the applicable tax laws, accounting standards, and regulations of your operating jurisdiction.
• Accuracy of Data: You warrant that all business profiles, client details, pricing, tax identification numbers (e.g., TCKN, VKN, SSN, VAT ID), and digital signatures entered into the Services are accurate, lawful, and properly authorized.
• Third-Party Consent: If you process client personal data or tax numbers through our Applications, you warrant that you have obtained all necessary prior consents from those parties under applicable privacy laws (including GDPR and KVKK).

6. INTELLECTUAL PROPERTY & CONTENT OWNERSHIP

• APEXity Studio Ownership: The Site, Applications, source codes, UI/UX designs, branding, trademarks, logos, graphics, and underlying architecture are the exclusive intellectual property of APEXity Studio and protected by international intellectual property laws.
• User Content Ownership: You retain full ownership of all business metadata, pricing figures, client lists, and content entered into the Services ("User Content"). APEXity Studio claims no ownership over your User Content.
• License to Render: You grant APEXity Studio a non-exclusive, worldwide, royalty-free license to host, store, process, and render your User Content strictly as required to provide and operate the Services for you.

7. PROHIBITED CONDUCT

You agree not to:

1. Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Site or Applications.
2. Use the Services for illegal activities, money laundering, fraudulent invoicing, or transmitting unlawful or harmful content.
3. Attempt to compromise backend infrastructure, bypass authentication systems, or overload Firebase databases through automated scripts or DDoS attacks.
4. Misrepresent your identity or affiliations when creating company profiles or drafting documents.

10. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless APEXity Studio, its founder, employees, and agents against any claims, liabilities, damages, losses, or legal costs (including attorney fees) arising out of or connected with your access to or use of the Site or Applications, your breach of these Terms, or any failure to comply with local tax or privacy laws.

11. AMENDMENTS, SUSPENSION & TERMINATION

• Service & Terms Updates: We reserve the right to modify, suspend, or update any part of the Services or these Terms at any time. Updates will be posted on www.apexitystudio.com. Your continued use of the Services following updates constitutes acceptance.
• Account Termination: We reserve the right to suspend or terminate your access to the Applications or Services immediately, without prior notice, if you breach these Terms or engage in fraudulent activity.

12. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and construed in accordance with applicable general commercial laws. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts.
